November 1st Business Meeting

November 1st, 2008

Thanks to everyone who either commented on the forum and/or showed up at this meeting. The following are the minutes for that meeting as recorded by the Club Secretary (that’s me!)

1. Quorum Determination
Attendance was taken, and 21 of the 39 members were counted present, including 1 new member who paid at the meeting - welcome Charles Keresty. Three other members were excused absent, and quorum was met.
2. Reading of Past Minutes
This was waived, since none were recorded from the prior meeting.
3. President’s Report
Mark Zieper addressed the group and explained his reasons for his post: (a) over the last 6 weeks, attendance at the Friday and Saturday night club meetings has averaged between 3 and 4 people; (b) several members seem to either be gaming at home or at other locations; (c) Brimfrost is 5 months away, there has been little or no plannig to date, and we are not 100% confident that the promised space is indeed available; and (d) we hadn’t had an actual club meeting since May of this year. The President then opened the floor for comments and discussion.
It quickly become clear that there was general agreement that the Club should continue as a dues paying organization. This was subsequently proposed, seconded, and passed unanimously.
Further discussion around the various websites and forums and which was which, how they came to be etc. was held. The RWA forum was the original and is still owned by Carl Dillon, who no longer resides in the State. General consensus was that that should no longer be used for notice of club events. The Northern Gamer site and forums is Grant Cate’s site, and is used by a large number of club members. This will, obviously continue, but the AMGC website and forums will continue to be the official site for Club business.
4. Secretary/Treasurer’s Report
Steve Preston reported that we have $1,774 in the bank account, but that $754 of that is owed to the Treasurer as the outstanding portion of this years “pre-Brimfrost loan”. Insurance is due in January- and we need to determine if that is indeed needed, if we are going to hold Brimfrost at the University. The officers will discuss this further at their next meeting.
5. Standing Committee Reports
No reports, since no standing committees exist.
6. Temporary Committee Reports
No reports, since no temporary committees exist.
In response to a question from the floor regarding why just Brimfrost and why not several smaller events / tournaments, Steve Preston gave a brief history of the club, why it was founded, and how Brimfrost came to be. Gene Larmi proposed the formation of a temporary Events Committee, said motion being seconded and passed without dissent. The following personnel volunteered to sit on that committee: Ken Ayers, Patrick Gingrich, Tom Dill, Shawn Whitsell, Drew Lanz and Keith Sobolesky.
7. Correspondence
There being none, this agenda item was skipped.
8. Old Business
There being none, this agenda item was skipped.
9. New Business - including resolution of procedural issues
The President opened the floor to discussion. There were several By-Laws issues immediately raised, so the Secretary began going through the latest posted copy.
Article 1 - Mission was unchanged.
Article 2 - Officers. The post of Newsletter Editor was removed, and replaced by the post of Event Committee Chairman. Ken Ayers was subsequently elected to that position.
The Secretary identified several By-Laws that referred to an Annual General Meeting (AGM) without there being any definition of when that should be held. A motion was then proposed, seconded and passed that the AGM is to be scheduled by the current Club Officers within the month of April each year, and that at least 30 days advance notice of said meeting shall be published on the AMGC website.
Article 3 - Elections was not amended.
Article 4 - Membership was not amended.
Article 5 - Quorum was not amended.
Article 6 - Finances was not amended.
Article 7 - Meetings & Location. Following considerable discussion, a motion was proposed, seconded and passed to amend the meeting schedule as follows. Club Business meetings shall still be on either the 1st or 2nd Saturday of the month. The Club officers shall meet monthly, and the general membership shall meet quarterly. All meetings will be open to the general membership, but only Officers are required to attend the monthly meetings. The Secretary / Treasurer will schedule the business meetings and announce each meeting at least 7 days prior to the meeting on the AMGC website. The minutes of all business meetings will be posted to the website within 7 calendar days of said meeting (change of language in article 7.3).
The language of Article 7.5 (meeting times) was amended to include the phrase “pending site availability”
(Thanks to Sean King for pointing out that the bylaws had already been changed at a prior meeting, but that the “official” copy on the website had not been updated - for which the current Secretary apologizes)
Article 8 - Conventions
Amendments to this section were deferred pending the report of the Events Committee at the January Business Meeting, which will be a General Membership meeting.
Article 9 - Club ID Cards was not amended
Article 10 - Revision History will be updated as appropriate.

The Secretary will incorporate the approved motions into the official Club By-Laws within the next week, and publish them for comment / review (for accuracy, not amendment).

The Secretary then called for a motion to adjourn, which was made, seconded and passed.
